Transaction advisory supports investors, financing institutions, and companies in making key decisions when acquiring or selling companies and major assets. Our goal is to effectively identify and mitigate transactional risks – especially financial and tax-related – regardless of the client’s role in the transaction.

We efficiently coordinate cooperation with technical and commercial advisors, both locally and internationally. 

Our services include, among others: 

  • financial, tax, and legal due diligence – for both buyers (buy-side) and sellers (sell-side/vendor due diligence), including: 
    a) identification of key business, financial, tax, and legal risks (so-called “deal breakers”), 
    b) analysis of reported EBITDA and normalized EBITDA for cash flow projection purposes (“quality of earnings”), 
    c) analysis of working capital and net debt, 
    d) cash flow analysis,
  • advisory on structuring the tax and legal aspects of acquisition/sale of businesses or organized parts of businesses,
  • transactional advisory for acquisition and disposal processes, including purchase price calculation, review of sale/purchase agreements, and negotiation support,
  • post-transaction integration advisory, including support for reporting processes,
  • valuations – including business and asset valuations, purchase price allocation (PPA), fairness opinions, and support in developing financial and operational models for decision-making processes.
