Comprehensive M&A advisory (Sell-Side Lead M&A), including:
- preparing the company for the planned transaction, in particular:
- conducting an in-depth company analysis with an "Exit Readiness" report to identify transaction risks (especially financial) and implement recommended changes,
- defining the "equity story" for potential investors,
- preparing sales materials (Information Memorandum, Teaser, Investor Presentation),
- EBITDA normalization,
- identifying potential investors and initiating contact to build a competitive process,
- advisory throughout investor discussions, especially:
- identifying and engaging potential investors,
- comprehensive support during transaction negotiations at various stages (upon receiving non-binding offers, term sheets, and sale/investment agreements),
- organizing and overseeing the due diligence process,

For transactions with strategic investors, we assist in preparing a joint business plan, including synergy estimation, and support post-merger integration.

Beyond M&A transactions, we offer advisory on raising debt financing (e.g., bank loans, private debt, mezzanine) and equity financing from private equity funds investing in minority stakes (so-called “growth” capital).
